Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the services and software provided by Companian Inc. (“Companian, ” “we,” or “us”), including our care coordination platform, our website at companian.health, and any related applications and services. By accessing or using our services, you agree to these Terms.
1. Description of services
Companian is a care coordination company that supports older adults living with chronic conditions. We employ care coordinators, social workers, community health workers, and clinicians who provide care management services on behalf of partner medical practices. Our services are reimbursed under Medicare programs (including Chronic Care Management, Principal Care Management, Transitional Care Management, and others) through those partner practices, which remain the patient’s billing practitioner of record.
Companian provides software and operational support to enable these services. We are not a medical practice and do not provide medical advice, diagnosis, or treatment directly. Clinical decisions remain the responsibility of the patient’s physician and the partner clinical practice.
2. Who can use the services
Different parts of Companian’s services are intended for different users:
- Patients enrolled in Companian’s services by a partner medical practice may receive communications, complete intake materials, and participate in care coordination activities.
- Family members and authorized representatives designated by a patient may receive limited communications about the patient’s care.
- Clinical and operations staff employed or authorized by Companian use the platform to deliver care coordination services.
- Partner clinical providers use designated portions of the platform to review and verify clinical documentation, as required by Medicare billing rules.
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our services on your own behalf. Companian’s services are not directed to children under 13.
3. Accounts and credentials
If you are issued an account to access the Companian platform, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at hello@companian.health.
4. Acceptable use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable regulation
- Attempt to access accounts, data, or systems that you are not authorized to access
- Interfere with or disrupt the operation of our services or the networks that support them
- Reverse engineer, decompile, or otherwise attempt to derive the source code of our software, except as expressly permitted by law
- Upload or transmit malicious code, spam, or content that infringes the rights of others
- Misrepresent your identity or your authority to act on behalf of another person or entity
5. Patient communications and consent
Patients enrolled in Companian’s services consent to communications from their care team during enrollment. This may include voice calls, text messages, email, and video visits. Communications are governed by our Privacy Policy. Patients may opt out of text message communications at any time by replying STOP to any Companian message.
6. Not for emergencies
Companian’s services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. Do not rely on text messages, email, the Companian platform, or any voicemail to communicate an urgent medical situation.
7. Intellectual property
Companian and its licensors own all rights, title, and interest in the Companian platform, software, content, and trademarks. These Terms do not grant you any ownership rights. You may use our services only as expressly permitted in these Terms and in any separate agreements with Companian or a partner clinical practice.
8. Privacy
Our handling of personal and health information is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Service availability and changes
We work to keep our services available and operating reliably, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of our services at any time. We may also update or change the features of our software without prior notice.
10. Disclaimers
Except as expressly stated in a separate written agreement, Companian provides its services “as is” and “as available, ” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
11. Limitation of liability
To the maximum extent permitted by law, Companian and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct.
12. Termination
We may suspend or terminate your access to our services at any time, with or without notice, for any reason — including violation of these Terms or to comply with legal or regulatory requirements. You may stop using our services at any time. Termination does not affect provisions of these Terms that by their nature should survive termination, including provisions about intellectual property, disclaimers, and limitation of liability.
13. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or our services will be resolved in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
